ENTRY PERIOD:  This Sweepstakes begins on March 31, 2025 at 12:00 PM EST and ends on April 3, 2025 at 11:59 PM EST (the “Entry Period”).  Entries received prior to or after the Entry Period, or on a day that is excluded from the Entry Period, will not be accepted.   

ELIGIBILITY:  This Cozy Night In Sweepstakes (“Sweepstakes”) is open to all natural persons who are legal residents of the 50 United States and District of Columbia who are at least 18 years of age at the time of entry.  Void outside the United States, in Puerto Rico, the US Virgin Islands and other Unted States Territories and possessions.  Employees, officers, directors, shareholders, agents and representatives of Sponsor, its parent, affiliates, subsidiaries, advertising and promotion agencies, suppliers and their immediate family members and/or those living in the same household of each, whether related or not, are not eligible to enter or win.  This Sweepstakes is subject to all applicable federal, state and local laws, rules and regulations.  Void where prohibited or restricted.     

HOW TO ENTER: INTERNET ACCESS IS REQUIRED IN ORDER TO ENTER THE DRAWING. You must have a valid Instagram account and agree to the Instagram Terms of Service, located at https://help.instagram.com/581066165581870/?helpref=hc_fnav, and the Instagram Privacy Policy, located at https://help.instagram.com/519522125107875/?maybe_redirect_pol=0 in order to be eligible to enter. Registration on Instagram must be completed before an entry (as defined above) can be submitted. Any promotion-related participation must be by the authorized Instagram account holder. "Authorized account holder" is deemed as the natural person who is assigned to an Instagram account  Sponsor may not receive entries from Instagram users with “private” updates.  If entrant is using his/her mobile device to enter, charges, including message and data rates may apply. 

To enter, follow @otherlandco, @overnightoats and @sweetlorens on Instagram, like the sweepstakes post and comment as instructed by the directions in the post.  Limit one (1) entry per unique Instagram  account and per person.  Entries generated by scrip, macro or other automated means are void, as are entries that are illegible, garbled, incomplete or that contain errors.  Normal time, toll, connection and usage rates, if any, charged by your Internet service provider will apply.  All entries become the property of Sponsor.  No other entry method will be accepted.   

DRAWING:  Three winners will be selected on or about April 4, 2025 by random drawing from all eligible entries received. The drawing will be conducted by Sponsor, whose decisions and interpretations on all matters relating to the Sweepstakes and these Official Rules are final and binding.  Sponsor’s computer is the official time-keeping device for the Sweepstakes and determines the order of receipt of entries.  Sponsor reserves the right to disqualify any entrant or winner and may refuse to award a prize to a person who is not eligible or has violated these rules.  Potential winners will be notified on or about April 4, 2025 via Direct Message.  Potential winners will be asked for an eligible email address by Direct Message and will be then notified by email and may be required to execute and return an Affidavit of Eligibility/Release of Liability/Publicity (where legal) form within seven (7) days of the date of attempted notification. Sponsor is not responsible if a potential winner fails to receive the notice.  If a potential winner fails to respond within seventy-two (72) hours, their prize may be forfeited and an alternate winner may be selected at random. 

PRIZES:  Winners will receive two (2) packs of Sweet Loren’s Chocolate Chunk + two (2) packs of Sweet Loren’s Fudgy Brownie ($40 value per winner); one (1) 16-pack bundle from ONO Protein Overnight Oats ($60 value) and two (2) 8oz Otherland candles ($40 value). Total prize value for each winner is $140. All three (3) winners will receive the same prize value (total $420).  Except where prohibited by law, by accepting prize, winner grants Sponsor a perpetual, worldwide, royalty-free licensee of use winner’s name, photograph, voice, and/or likeness without further authorization, compensation, or remuneration of any kind for advertising, promotion and other publicity purposes in any and all media now or hereafter known throughout the world.  No prize substitution or cash equivalent allowed.  All taxes on the Prize are the responsibility of the winner.  No transfer, substitution or cash redemption will be awarded in lieu of stated price except by Sponsor who reserves the right to substitute a prize (or portion there) of comparable or greater value, in its sole discretion, if the advertised prize becomes unavailable.   

Odds of Winning:  Odds of winning depend on the number and timing of eligible entries received.   

GENERAL TERMS:  By entering this Sweepstakes, you promise to abide by the Official Rules and decisions of Sponsor, which are final and binding in all respects.  Sponsor reserves the right, in its sole discretion, to refuse, disqualify or withdraw any entry at any time.  

For any content that you submit, you grant Sponsor a perpetual, irrevocable, royalty-free, transferable right and license to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell and/or distribute such content and/or incorporate such content into any form, medium or technology throughout the world now known or hereinafter developed, without compensation to you, except where prohibited by law.  

By submitting any content you represent and warrant that:  

• you are the sole author and owner of the intellectual property rights thereto;  

• all "moral rights" that you may have in such content have been voluntarily waived by you;  

• all content that you post is accurate;  

• you are at least 18 years old;  

• use of the content you supply does not violate these Terms of Use and will not cause injury to any person or entity.  

You further agree and warrant that you shall not submit any content:  

• that is known by you to be false, inaccurate or misleading;  

• that infringes any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;  

• that violates any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);  

• that is, or may reasonably be considered to be, defamatory, libelous, hateful, racially or religiously biased or offensive, unlawfully threatening or unlawfully harassing to any individual, partnership or corporation;  

• for which you were compensated or granted any consideration by any third party;  

• that includes any information that references other websites, addresses, email addresses, contact information or phone numbers;  

• that contains any computer viruses, worms or other potentially damaging computer programs or files.  

All content that you submit may be used at Sponsor’s sole discretion. Sponsor reserves the right to change, condense or delete any content on Sponsor’s website that it deems, in its sole discretion, to violate the content guidelines or any other provision of these Official Rules.  Sponsor reserves the right, in its sole discretion, to remove or to refuse to post any submission for any reason. You acknowledge that you, not Sponsor are responsible for the contents of your submission. None of the content that you submit shall be subject to any obligation of confidence on the part of Sponsor, its agents, subsidiaries, affiliates, partners or third-party service providers and their respective directors, officers and employees.  

 

Sponsor reserves the right to cancel, terminate, modify or suspend the Sweepstakes should virus, bug, non-authorized intervention, fraud or any other cause affects the administration, security, fairness or proper conduct of the Sweepstakes. 

LIMITATION OF LIABILITY:  Sponsor will not be responsible for any injury, damage or loss of any kind arising out of your participation in the Sweepstakes or use of the prize.  You agree to indemnify and hold Sponsor, its parent, subsidiaries and affiliated companies, Instagram and their respective  officers, directors, agents, subsidiaries, joint ventures, employees and third-party service providers, harmless from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown including reasonable attorneys' fees, arising out of your participation in the Sweepstakes or use of the prize or due to a breach of your representations and warranties set forth herein, or your violation of any law or the rights of a third party.  

Governing Law:  This Sweepstakes and the rights and obligations of the Sponsor and participants shall be governed by and controlled by the laws of the State of Minnesota, applicable to contract made and performed therein without reference to the applicable choice of law provisions.  All actions, proceedings, or litigation relating hereto will be instituted and prosecuted solely within the state and Federal courts located in Hennepin County, Minnesota.  

ODDS OF WINNING:  The odds of winning depend on the number of eligible entries received.  

WINNERS’ NAME:  The name of the winners (handle) will be posted on Sponsor’s Instagram page when available.    

This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with Instagram. You understand that you are providing your information to the Sponsor of this Sweepstakes and not to Instagram.
